Terms of Service

1. Acceptance of Terms

By accessing and using the HireUp Communication Intelligence Platform ("HireUp", "the Service", "the Platform"), you accept and agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you must not access or use the Service.

2. Service Description

HireUp is a cloud-based communication intelligence platform designed for recruiting professionals and organizations. The Service aggregates and analyzes recruiting communications from connected channels, provides AI-powered insights, and enables campaign management. Key features include:

  • Multi-channel communication aggregation (email, messaging, phone, video)
  • Contact management with AI-powered profile enrichment
  • Search and matching across your communication data
  • Outbound campaign creation and scheduling
  • Integration with Applicant Tracking Systems (ATS)
  • A browser extension for LinkedIn message capture
  • Task management and intelligence dashboards

3. Account Registration and Security

To use the Service, you must create an account and belong to an organization. You are responsible for:

  • Providing accurate and complete registration information
  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access to your account

Organization administrators are responsible for managing user access and roles within their organization.

4. Subscription and Billing

Access to the Service requires a paid subscription. By subscribing, you agree to the following:

  • Payment: Subscription fees are billed in advance on a recurring basis (monthly or annually, as selected). Payment is processed by Stripe.
  • Usage limits: Your subscription plan includes defined usage limits for contacts, communications, and other features. Exceeding these limits may require upgrading your plan.
  • Plan changes: You may upgrade or downgrade your plan at any time. Changes take effect at the start of the next billing cycle.
  • Cancellation: You may cancel your subscription at any time. Your access will continue until the end of the current billing period, after which your account will be deactivated.
  • Refunds: Subscription fees are non-refundable except where required by applicable law.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in compliance with these Terms. You must not:

  • Use the Service to send spam, unsolicited messages, or communications that violate applicable anti-spam laws (e.g., CAN-SPAM, GDPR)
  • Use campaign features to send bulk messages without proper consent from recipients
  • Violate the terms of service of any connected third-party platform (WhatsApp, LinkedIn, Gmail, Outlook, Slack, Aircall, Ringover, or any ATS provider)
  • Use the Service to harass, abuse, or harm any individual
  • Attempt to gain unauthorized access to the Service, other accounts, or connected systems
  • Reverse-engineer, decompile, or disassemble any part of the Service
  • Use the Service in a manner that could damage, disable, or impair the Service or interfere with other users
  • Upload malicious files or content that contains viruses or harmful code
  • Use the browser extension on platforms other than LinkedIn or in ways that violate LinkedIn's terms of service

We reserve the right to suspend or terminate accounts that violate these terms.

6. Third-Party Integrations

The Service enables you to connect third-party platforms including Gmail, Outlook, WhatsApp, LinkedIn, Slack, Aircall, Ringover, Google Meet, and various ATS providers. By connecting these integrations, you:

  • Authorize HireUp to access data from these platforms on your behalf using OAuth or API credentials you provide
  • Acknowledge that your use of these integrations is also subject to the respective third-party terms of service and privacy policies
  • Accept that HireUp is not responsible for the availability, accuracy, or conduct of third-party services
  • Understand that you may disconnect any integration at any time through your account settings

7. Browser Extension

The HireUp Browser Extension is an optional component that enables LinkedIn message capture. By installing and using the extension, you agree that:

  • The extension will read message content from the LinkedIn messaging interface while you are actively using LinkedIn
  • Captured messages will be transmitted to the HireUp platform and stored in your account
  • You are responsible for ensuring that your use of the extension complies with LinkedIn's terms of service
  • The extension stores authentication data and message processing state locally on your device
  • You may pause or disable the extension at any time

8. Artificial Intelligence Features

The Service includes AI-powered features for profile enrichment, content generation, and search. By using these features, you acknowledge that:

  • AI-generated content (summaries, message drafts, extracted data) may contain inaccuracies, errors, or biases
  • You are solely responsible for reviewing and verifying AI-generated outputs before relying on them or sending them to third parties
  • HireUp does not guarantee the accuracy, completeness, or reliability of AI-generated content
  • Your data is processed by Amazon Bedrock AI services under AWS's data processing terms, which do not use your data to train foundation models

9. Data Usage and Privacy

By using the Service, you agree to our data collection and usage practices as outlined in our Privacy Policy. You are responsible for ensuring that your use of the Service complies with applicable data protection laws, including obtaining any necessary consents from individuals whose data you process through the platform.

10. Intellectual Property

The Service, including its design, features, code, and documentation, is owned by HireUp and protected by intellectual property laws. You retain ownership of all data you upload or generate through the Service, including contact data, communications, and documents.

AI-generated content (such as profile summaries, message drafts, and enrichment data) is generated from your data and belongs to you. HireUp retains no ownership rights over your data or AI-generated outputs derived from it.

You grant HireUp a limited, non-exclusive license to process your data solely for the purpose of providing the Service.

11. Account Termination

You may close your account at any time by contacting us. Upon account closure:

  • Your access to the Service will be immediately revoked
  • All connected integrations will be disconnected and OAuth tokens will be revoked
  • Your data will be retained for 30 days to allow for account recovery, after which it will be permanently deleted
  • Any active subscription will be cancelled and no further charges will be applied

We may suspend or terminate your account if you violate these Terms, with or without prior notice depending on the severity of the violation.

12. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to scheduled maintenance, updates, or circumstances beyond our control.

We are not liable for any loss or damage resulting from Service downtime or interruptions, including disruptions to third-party integrations.

13. Limitation of Liability

To the maximum extent permitted by applicable law, HireUp and its suppliers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Service.

Our total liability for any claims arising under these Terms shall not exceed the amount you paid for the Service in the twelve (12) months preceding the claim.

14. Indemnification

You agree to indemnify and hold harmless HireUp and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

15. Modifications to Terms

HireUp may update these Terms from time to time. We will notify you of material changes by email or through a notice on the platform. Your continued use of the Service after the effective date of any changes constitutes acceptance of the updated Terms.

16. Governing Law

These Terms shall be governed by and construed in accordance with applicable law, without regard to conflict of law principles.
